Kiroyan Partners recognizes that maintaining integrity, objectivity, and sound governance requires potential conflicts of interest to be identified and managed appropriately. Our Conflict of Interest Policy provides guidance for addressing situations in which personal, family, organizational, or other interests may influence—or appear to influence—professional responsibilities and decision-making.
Our Commitment
Kiroyan Partners is committed to:
- Maintaining Integrity and Objectivity
We expect all team members to act with integrity and avoid allowing personal interests or affiliations to influence professional decisions. - Identifying and Disclosing Conflicts
Team members are expected to identify potential conflicts of interest and promptly declare personal interests or affiliations that may create a conflict. Where a direct family relationship or organizational affiliation exists with a client, business partner, supplier, or competitor, a formal written declaration is required. - Avoiding Improper Influence
Team members must not use their position, company assets, confidential information, or business relationships for personal, family, or other private interests. They must also avoid preferential treatment or other actions intended to obtain improper personal benefit. - Upholding Good Corporate Governance
Our approach is guided by principles of good corporate governance, including integrity, compliance with applicable rules and policies, impartial decision-making, and accountability for managing conflicts appropriately.
Scope
The Conflict of Interest Policy applies to all members of the Kiroyan Partners team, including members of the Board of Commissioners, Board of Directors, permanent employees, interns, project officers, and technical experts appointed to projects.
It covers situations that may arise in the course of our business activities, including interactions with clients, business partners, suppliers, and other external parties.
Situations We Seek to Avoid
Conflicts of interest may arise in a range of circumstances. Examples identified in our policy include:
- Receiving or giving gifts or benefits connected to a position or business decision.
- Using company assets or authority for personal or group interests.
- Using confidential company or business information for purposes outside the company.
- Providing preferential access or treatment in areas such as recruitment or supplier selection outside established procedures.
- Participating in decisions where personal interests or affiliations may influence professional judgment.
Disclosure and Reporting
Where a conflict of interest occurs or has the potential to occur, the matter must be reported through the appropriate internal mechanism.
Team members directly involved, or potentially directly involved, in a conflict are required to submit a Statement of Potential Conflict of Interest to their immediate supervisor. Where the person reporting the matter is not directly involved and has no potential direct involvement, the matter may be submitted through the company’s Grievance Mechanism.
Accountability
Kiroyan Partners takes conflict of interest seriously. Team members found to have engaged in conflicts of interest may be subject to appropriate action in accordance with the applicable Company Regulations.
We expect all members of our team to contribute to maintaining a professional environment in which decisions are made fairly, objectively, and in accordance with applicable policies and governance principles.
Governance and Alignment
The Conflict of Interest Policy forms part of Kiroyan Partners’ broader governance framework and should be read alongside our other relevant policies, including the Code of Conduct, Anti-Bribery & Anti-Corruption, and Whistleblowing & Reporting Mechanism policies.
